Duda forms subsidiary structure for its diversified operations
Capitalizing on its highly diversified agricultural and real estate operations, two of Duda's primary agricultural divisions -- fresh fruits and vegetables and frozen processed vegetables and beverages -- will become wholly owned subsidiaries of the corporation in 2006.
Effective Jan. 1, the company's nationwide fresh fruit and vegetable operations merged to become Duda Farm Fresh Foods Inc. The company's frozen processed vegetable and beverage operations will be consolidated within the first quarter of 2006 as Duda Products Inc. Duda's real estate development division, The Viera Co., has operated as a wholly owned subsidiary since its inception in 1989.
As the parent company, A. Duda & Sons Inc. will provide corporate services to the subsidiaries.
"The new operating structure has several advantages for the corporation and for each of the subsidiary operations," Joseph A. Duda, president and chief executive officer of A. Duda & Sons Inc., said in a statement. "Because land is central to our agriculture and real estate operations, the structure allows more effective management of the corporation's land assets and balances the utilization of our properties with our ability to generate enhanced land values. Further, by organizing in this way, the subsidiary companies have greater freedom and flexibility to focus their efforts on their specific products and markets to grow their individual businesses."
Duda Farm Fresh Foods Inc. merges all the company's fresh fruit and vegetable operations -- production, sales, packing and shipping -- into one operating entity. The company's fresh operations in California and Arizona (Gene Jackson Farms Inc.), Texas (Valley Onions Inc.) and Florida (which had operated as a division of A. Duda & Sons Inc.) will be combined into the new subsidiary.
"Genuinely integrating our coast-to-coast fresh operations will enable us to better serve our customers as a year- round, regionally correct supplier, and give us greater opportunities to develop new and innovative products," Mr. Duda said.
The consolidation of Duda's frozen processed operations in 2006 will include Citrus Belle, a juice concentrate plant in La Belle, FL, and Duda's vegetable-processing plant in Thomasville, GA.
Duda's sod, sugarcane and cattle operations will continue to operate as divisions of A. Duda & Sons Inc.
